These Terms of Service ("Terms") are a contract between you and CRTV DEI LLC, a Virginia limited liability company based in Virginia Beach, Virginia ("CRTV DEI," "we," "us," or "our"). They govern your use of CRTV Signatures (the "Service"), available at signatures.crtvdei.com and any associated domains. By signing in or using the Service, you agree to these Terms. If you don't agree, don't use the Service.
1. Who can use the Service
- You must be at least 18 years old.
- You must use a business or organization email address. Consumer email domains (e.g., gmail.com, yahoo.com, outlook.com) are blocked.
- If you sign up on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Accounts and Workspaces
Authentication is via Google OAuth. We do not store your password.
The Service is multi-tenant. Each organization (identified by its email domain) is a "Workspace." The first user to onboard a domain becomes the Workspace owner and controls billing, templates, branding, and member access.
Owners may invite, approve, suspend, change roles for, or remove other users in their Workspace. By joining a Workspace, you accept that the owner has these capabilities and that your access can be revoked by the owner at any time.
3. Plans, billing, and cancellation
Plans
We currently offer two paid plans:
- Starter — $5 USD per active seat per month.
- Pro — $49 USD per month flat, with unlimited seats.
We may add, remove, change, or re-price plans with reasonable notice to Workspace owners.
Billing
Subscriptions are billed monthly in advance through Stripe. By subscribing, you authorize us (via Stripe) to charge your payment method on a recurring monthly basis until you cancel. We do not store your full card number — Stripe processes payments directly.
Free trials
We do not currently offer a free trial. If we add one in the future, the specific terms of that trial will be presented at signup.
Seat counting (Starter)
For the Starter plan, your seat count equals the number of active users in your Workspace at checkout. To add or remove seats, the Workspace owner adjusts the quantity through Stripe's customer portal.
Cancellation
You can cancel anytime from Stripe's customer portal. Cancellation takes effect at the end of the current billing period; you retain access until then.
Refunds
Except where required by law, we do not refund partial billing periods.
Failed payments
If a charge fails, we may suspend access until the issue is resolved. After a reasonable grace period, we may terminate the subscription.
4. Acceptable use
You agree not to use the Service to:
- Send spam, phishing, or unsolicited bulk email.
- Impersonate another person or organization, or misrepresent your affiliation.
- Upload or include content that is unlawful, defamatory, infringing, or that violates someone's rights or privacy.
- Reverse-engineer, scrape, or circumvent the Service's technical limits or security mechanisms.
- Use the Service in a way that could damage, disable, or impair the Service or other users.
We may suspend or terminate accounts that violate this section, with or without notice.
5. Your content
"Your Content" means data you provide to the Service, including your name, title, photo, contact details, Workspace branding (logo, banner, colors, fonts, social links), and rendered signature content.
- You own Your Content. We don't claim any ownership rights to it.
- You grant us a license to host, copy, transmit, render, and display Your Content solely to provide the Service to you.
- You are responsible for ensuring you have the right to use Your Content — including the logos, photos, and brand assets you upload.
6. Our intellectual property
The Service itself — including the software, the signature template designs, the CRTV Signatures and CRTV DEI brand marks, and the website copy — is owned by CRTV DEI LLC and protected by copyright, trademark, and other applicable laws.
The license we grant you to use the Service is limited, non-exclusive, non-transferable, and revocable on termination. You may not copy, modify, distribute, sell, sublicense, or create derivative works of the Service except as expressly permitted by these Terms.
7. Service availability
We aim to keep the Service available, but we do not promise specific uptime. The Service is provided "as is" and "as available." We may modify, suspend, or discontinue features at any time, with or without notice. We do not currently offer a formal uptime SLA.
8. Third-party services
The Service relies on third parties — including Stripe (payments), Supabase (database and authentication), Amazon Web Services (image storage and content delivery), Google (sign-in), and Postmark (transactional email). Outages or changes in those services may affect the Service. Your use of those services is also subject to their respective terms.
9. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE FROM UNAUTHORIZED ACCESS.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CRTV DEI LLC, ITS OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
- ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; OR
- AGGREGATE DAMAGES IN EXCESS OF THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion of certain damages. These limits apply only to the extent allowed by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless CRTV DEI LLC, its officers, employees, and affiliates from and against any third-party claim arising out of: (a) Your Content, (b) your use of the Service in violation of these Terms, or (c) your violation of any law or third-party right.
12. Termination
You can stop using the Service anytime by canceling your subscription. We may suspend or terminate your access for any material breach of these Terms.
On termination:
- Your right to use the Service ends immediately.
- We may delete Your Content after a reasonable period. To request earlier deletion, email hello@crtvdei.com.
- Sections intended to survive — including intellectual property, disclaimers, liability limits, indemnification, and governing law — will survive termination.
13. Changes to these Terms
We may update these Terms from time to time. For material changes, we will notify Workspace owners by email at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Virginia Beach, Virginia, or the U.S. District Court for the Eastern District of Virginia, Norfolk Division. You consent to the personal jurisdiction of those courts.
15. Miscellaneous
- Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and CRTV DEI regarding the Service.
- Assignment. You may not assign these Terms without our written consent. We may assign them to a successor in connection with a merger, acquisition, or sale of the business.
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Notices. We may notify you by email to the address on your account or by posting to the Service. You may give notice to us at hello@crtvdei.com.
